Most popular US jurisdiction for incorporation. Court of Chancery specializes in corporate law. LLCs pay no Delaware entity-level income tax (flat $300/yr annual tax); nonresident members owe Delaware tax only on Delaware-source income. S-corp status is a federal election, not a Delaware entity type, and is closed to non-resident alien shareholders.

No state income tax, no franchise tax (the annual report license tax is asset-based, minimum $60). Lower annual costs than Delaware. Strong asset protection for LLCs.
